Engagement Agreement
Scope of work
You engage CertPayrolls to prepare draft certified payroll reports (federal WH-347 and/or California DIR eCPR) and accompanying Statements of Compliance from payroll data you upload, for California public-works and federally funded construction projects you identify.
What we do
- Receive your uploaded timesheets, exports, photographs, and roster.
- Extract payroll rows and validate them against the wage determination you supply for each project.
- Return a signable report and Statement of Compliance within 48 business hours of a complete upload.
- Correct errors on our side at no additional cost and refund that report (the "accuracy guarantee").
What we do not do
- Run payroll, issue paychecks, calculate or file taxes.
- Hold your DIR, LCPtracker, or general contractor portal credentials.
- Submit reports to any awarding body or general contractor on your behalf. You sign the Statement of Compliance and you submit.
- Determine prevailing wage classifications on your behalf; you identify the correct classification for each worker.
Your responsibilities
- Actually pay your workers at or above the applicable prevailing wage, including fringes, in accordance with the applicable wage determination.
- Supply accurate timesheets, roster, and project information. Supply the correct wage determination for each project.
- Review and sign each report before you submit it. You are responsible for what you submit.
- Respond to our "Needs info" questions in the dashboard in time for us to meet the 48-hour window.
Fees
Per our published pricing. Payment is handled by Stripe. We charge per-report fees when the report is released, project subscriptions monthly in advance per active project, and rush fixes at checkout.
Data handling
We hold the data you upload as a processor acting on your behalf, under our Privacy Policy. We do not sell your data and do not use it to train AI models. Our full security practices are described on our security page.
Confidentiality
Each party will keep the other's non-public business information confidential and use it only to perform under this engagement.
Limitation of liability
Our total liability to you for any claim arising out of or related to a report shall not exceed the fees you paid us for that specific affected report. We are not liable for regulatory penalties, lost profits, or indirect damages.
Termination
Either party may terminate at any time. Subscriptions are cancelable from the Stripe billing portal and take effect at the end of the current billing period. Fees already paid are not refundable on termination except under the accuracy guarantee.
Governing law
State of California. Exclusive venue in Los Angeles County.
Acceptance
By clicking "I agree" during account setup, or by paying for a report or subscription, you agree to this Engagement Agreement, our Terms of Service, and our Privacy Policy. We record the acceptance timestamp, your IP address, and the version of the agreement you accepted.
